Buyer Terms & Conditions

Applicable to festovee.com and the Festovee buyer application.

These Buyer Terms & Conditions (“Terms”) govern your access to and use of the Festovee buyer platform at festovee.com (the “Platform”), operated by Festovee Internet Private Limited (“Festovee”, “we”, “us”). By registering, browsing or placing an order, you (“Buyer”, “you”) agree to be bound by these Terms, our Privacy Policy, and all policies referenced here. If you do not agree, please do not use the Platform. These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require any physical or digital signature.

1. Definitions

“Seller” means a third-party factory, manufacturer or supplier listing products on the Platform. “Products” means goods offered for sale by Sellers. “Order” means a confirmed purchase request placed by a Buyer. “Content” means all text, images, listings, data and materials on the Platform. Capitalised terms not defined here have the meaning given in our Privacy Policy.

2. Nature of the Platform — intermediary role

Festovee operates a marketplace e-commerce entity and an intermediary that provides a technology platform to facilitate transactions between independent Buyers and Sellers. The actual contract of sale for any Product is a bipartite contract between the Buyer and the concerned Seller. Festovee is not the manufacturer, seller or owner of the Products (unless expressly stated) and does not control, and is not responsible for, the quality, safety, legality, or accuracy of listings, or the ability of Sellers to sell or of Buyers to pay. Festovee’s role is limited to providing the marketplace, facilitation and related services.

3. Eligibility

The Platform is intended for business use. You represent that you are at least 18 years old, are competent to contract under the Indian Contract Act, 1872, and are registering on behalf of a lawful business. Where you act for an entity, you represent that you are authorised to bind that entity to these Terms.

4. Account registration and security

You agree to provide accurate, current and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorised use. We may verify your identity and business details and may refuse, suspend or terminate accounts at our discretion where information is false, incomplete or in breach of these Terms.

5. Orders, enquiries and contract formation

Product listings are invitations to offer. When you place an Order or accept a quotation, you make an offer to purchase, which is accepted when the Seller or Festovee (on the Seller’s behalf) confirms the Order. Being a B2B platform, certain Products may be subject to minimum order quantities, negotiated pricing, and bulk-order terms specified in the listing or quotation. We may, on our own or on a Seller’s behalf, decline or cancel an Order for reasons including unavailability, pricing errors, suspected fraud, or breach of these Terms.

6. Pricing, taxes and invoicing

Prices are listed by Sellers and are exclusive of applicable taxes unless stated otherwise. The final price payable, including Goods and Services Tax (GST), shipping and any other charges, is shown before you confirm the Order. Tax invoices are issued by the concerned Seller (or by Festovee where it acts as the supplier) in accordance with the Central Goods and Services Tax Act, 2017. We do not manipulate prices to gain unreasonable profit and do not discriminate between Buyers of the same class.

7. Payments

Payments are processed through third-party payment aggregators and gateways authorised by the Reserve Bank of India (RBI). By making a payment, you authorise the applicable payment partner to process the transaction. Festovee does not store your full payment-instrument details. You agree to pay all amounts due for confirmed Orders. In case of payment failure or reversal, the Order may not be processed.

8. Shipping and delivery

Delivery timelines are estimates provided by Sellers or logistics partners and may vary. Risk in the Products and title pass in accordance with the applicable delivery terms and the Sale of Goods Act, 1930. You are responsible for providing accurate delivery information and for inspecting Products on receipt. Any shortage, damage or discrepancy must be reported promptly in the manner specified on the Platform.

9. Cancellation, returns and refunds

Cancellation, return, replacement and refund entitlements are governed by the policy displayed on the Platform and/or the applicable Seller’s policy, read with applicable law. Where a cancellation charge applies, it will not be imposed on you unless Festovee or the Seller bears similar charges for cancellations made by them. Approved refunds are processed to the original payment method within the timelines prescribed under RBI guidelines. Certain Products (for example, perishable, made-to-order, or customised goods) may be non-returnable, as clearly indicated in the listing.

10. Buyer obligations and acceptable use

You agree not to, and Rule 3(1)(b) of the Intermediary Guidelines Rules, 2021 requires you not to, host, upload, transmit or share information that: belongs to another and to which you have no right; is defamatory, obscene, harmful to a child, or unlawful; infringes intellectual property; violates any law; impersonates another; contains malware; or is otherwise prohibited. You further agree not to use the Platform for fraudulent or resale-fraud purposes, to circumvent fees, to scrape or misuse data, or to interfere with the Platform’s operation. You will comply with all applicable laws, including those relating to the resale, storage and transport of the Products you purchase.

11. Product information and disclaimers

Product descriptions, images and specifications are provided by Sellers. While we strive for accuracy, we do not warrant that listings are error-free, complete or current. To the extent permitted by law, the Platform and Products are provided on an “as is” and “as available” basis, without warranties of any kind except those that cannot be excluded under applicable law, including your rights under the Consumer Protection Act, 2019.

12. Intellectual property

The Platform, its design, software, trademarks (including the “Festovee” name and logo), and all Content other than Seller/Buyer content are owned by or licensed to Festovee and protected under applicable intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works without our prior written consent.

13. Third-party services

The Platform may integrate or link to third-party services (such as payment gateways and logistics providers). Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.

14. Limitation of liability

To the maximum extent permitted by law, Festovee, its directors, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, goodwill or data, arising out of or relating to your use of the Platform or any transaction with a Seller. As the Platform is an intermediary, disputes regarding Products (including quality, delivery and defects) are primarily between you and the Seller. To the extent Festovee is found liable notwithstanding the foregoing, its aggregate liability shall not exceed the total service fees, if any, received by Festovee from you in respect of the transaction giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

15. Indemnity

You agree to indemnify and hold harmless Festovee and its affiliates, officers and employees from and against any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your misuse of the Platform.

16. Suspension and termination

We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, provide false information, engage in fraud or unlawful activity, or where required by law. You may stop using the Platform and request account closure at any time, subject to completion of pending transactions and applicable record-retention obligations.

17. Force majeure

Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics/pandemics, war, civil unrest, strikes, failures of telecommunications or internet, or governmental action.

18. Grievance redressal

In accordance with the Intermediary Guidelines Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, the details of the Grievance Officer are:

The Grievance Officer will acknowledge your complaint within forty-eight (48) hours and endeavour to redress it within one (1) month from the date of receipt.

19. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to applicable consumer-protection law, the courts at Dehradun, Uttarakhand shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Platform.

20. General provisions

These Terms, together with the Privacy Policy and referenced policies, constitute the entire agreement between you and Festovee regarding the Platform. If any provision is held invalid, the remaining provisions continue in effect. Our failure to enforce any right is not a waiver. We may amend these Terms at any time by posting the updated version with a new Effective Date; your continued use constitutes acceptance. You may not assign your rights without our consent; we may assign ours to an affiliate or successor.
