These Terms and Conditions govern your access to and use of the website, mobile applications, and services operated by Festovee Internet Private Limited, a company incorporated under the laws of India, with its registered office at Dehradun, Uttarakhand, India — 248002.

The Platform is intended for use by businesses, sole proprietors, partnerships, limited liability partnerships, and companies registered in India. By using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into a binding agreement on behalf of your business entity; and (c) your use of the Platform complies with all applicable laws and regulations, including but not limited to the Information Technology Act, 2000 and the Indian Contract Act, 1872.
To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account. Festovee reserves the right to suspend or terminate any account that is found to contain inaccurate information, is used in violation of these Terms, or is involved in fraudulent or illegal activity.
Festovee provides a B2B trade operating system that facilitates connections between manufacturers, wholesalers, distributors, and retail buyers. Our services include, but are not limited to: product cataloguing and discovery, order management, quotation and invoicing tools, logistics coordination, and trade-credit facilitation. Festovee acts as a technology intermediary and does not itself manufacture, sell, purchase, store, ship, or deliver any products listed on the Platform. We do not guarantee the quality, safety, legality, or availability of any products or services offered by third-party sellers on the Platform.
By using the Platform, you agree to: (a) Provide accurate and truthful information about your business, products, and services. (b) Comply with all applicable Indian laws, including the Goods and Services Tax (GST) regulations, Foreign Exchange Management Act (FEMA), and any other relevant trade or commerce legislation. (c) Not use the Platform for any unlawful, fraudulent, or harmful purpose. (d) Not upload, transmit, or distribute any content that is defamatory, obscene, infringing, or otherwise objectionable. (e) Not attempt to reverse-engineer, decompile, or tamper with any part of the Platform's technology or infrastructure. (f) Not scrape, harvest, or collect data from the Platform through automated means without prior written consent.
Sellers are solely responsible for the accuracy of product listings, including descriptions, pricing, images, and availability. Buyers acknowledge that product images are representative and actual products may vary slightly. All transactions facilitated through the Platform are directly between the buyer and the seller. Festovee is not a party to any transaction and shall not be liable for any disputes, claims, or losses arising from transactions between users. Prices displayed on the Platform are indicative and subject to change. Final pricing, payment terms, and delivery timelines are agreed upon between the buyer and seller, and may be subject to applicable taxes including GST.
Payments for transactions may be processed through third-party payment gateways integrated into the Platform. Festovee does not store credit card or debit card details and relies on PCI-DSS compliant payment processors. All payment disputes shall be raised directly with the concerned payment gateway or financial institution. Festovee may, at its discretion, offer trade-credit facilitation or invoice-financing services through regulated third-party financial partners. Any such financial services shall be governed by separate terms and conditions provided by the respective financial partner.
All content on the Platform — including but not limited to text, graphics, logos, icons, images, software, and compilation of data — is the property of Festovee Internet Private Limited or its licensors and is protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended business purpose. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content from the Platform without prior written permission from Festovee.
To the maximum extent permitted by applicable law, Festovee, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or loss of goodwill, arising from or related to your use of the Platform. Festovee's total aggregate liability for any claims arising under these Terms shall not exceed the amount of fees, if any, paid by you to Festovee in the twelve (12) months preceding the event giving rise to the claim.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Festovee does not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Platform will be accurate or reliable; or (c) any defects in the Platform will be corrected.
You agree to indemnify, defend, and hold harmless Festovee Internet Private Limited, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.
Festovee may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue to remain in effect, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.
Festovee reserves the right to modify these Terms at any time. Changes will be effective upon posting on the Platform with an updated "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Dehradun, Uttarakhand, India.
In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If the dispute is not resolved within thirty (30) days, either party may refer the matter to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, with the seat of arbitration in Dehradun, Uttarakhand.
In accordance with the Information Technology Act, 2000 and the rules made thereunder, the Grievance Officer for the Platform is: Divyank, Founder & CEO. Email: support@festovee.com. The Grievance Officer shall acknowledge complaints within 24 hours and endeavour to resolve them within 15 days of receipt.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and Festovee with respect to your use of the Platform and supersede all prior agreements, representations, and understandings.
